The Senior Paralegal will be part of the Legal Services Department at Atlas Healthcare Partners and will assist with performing and outsourcing all legal services pursuant to the management agreements with the Ambulatory Surgery Center entities that Atlas manages. The Senior Paralegal will be responsible for gathering, preparing, and summarizing relevant materials for use by the Director of Legal Services, and other outside legal counsel. The Senior Paralegal will lead tactical legal initiatives, maintain documents and files in the Company’s infrastructure systems, perform legal research where relevant, and track projects. In addition, the Paralegal will be responsible for reviewing and drafting templated documents and contracts, participating in the development of policies and procedures for the Legal Department, assisting with transaction closings, maintaining corporate and governance records, preparing data and reports for executive or board-level meetings, assisting with ensuring Atlas compliance with applicable regulations and standards, along with other duties as assigned.

  • Partner with attorney(s) on investigating and resolving various company matters or disputes
  • Prepare and review confidentiality agreements with attorney supervision
  • Review and maintain files on all Governance actions by Atlas, related entities, and Atlas-managed entities
  • Review and maintain files on all Atlas and related entity contracts
  • Assist with corporate governance matters, including record keeping and maintenance for all related filings
  • Provide legal administrative support to the Director of Legal Services, and various departments within the Company
  • Participate in the definition and development of legal department policies, procedures, and programs, and provide continuing counsel and guidance on all legal matters
  • Interface with Atlas Team members in all Departments, as well as with outside counsel, vendors, and employees of Atlas’ partners
  • Form, maintain and dissolve different types of business entities, to include organizational documents, articles of organization, schedules of owners and ownership interests in Atlas, related entities, and Atlas-managed legal entities
  • Assist with mergers, acquisitions, and development of new business through Atlas partners
  • Assist with all SEC-required filings, as directed by outside counsel, to include Form D filings and others
  • Prepare templated documents in all areas of law involved in the business
  • Respond to requests for information, records, or other documents from within or outside of the organization
  • Assist with all transactions and maintenance of corporate records, specifically ownership records of entities undergoing the sale or purchase of ownership units in those entities
  • Conduct legal research and drafting as requested
  • Maintain and update legal calendar and related databases
  • Lead the implementation efforts associated with building out legal department IT infrastructure, to include hCue, CT Corporation Assurance Account, Contracts Manager, Governance software, and other IT initiatives to prepare the Legal Services Department to be able to scale for expansive growth in the near future 
  • Facilitate the transfer of current data in the Contracts Management System to hCue and Legal Tracker as required
  • Educate and advise on proper uses and purposes of hCue as interrelated with Legal Tracker implementation and documents storage requirements
  • Oversee eBilling functions within Legal Tracker, to include oversight of outside counsel invoicing, hourly rates, and invoice approval flows and processes
  • Facilitate annual rate reviews and implementation of Billing Guidelines for outside law firms, establish legal spend budgets for specific aspects of the Development Projects and assist with legal budget projections by project and as needed for Joint Venture Board approval of proposed budget spends
  • Oversee, track, and prepare regulatory contracts required for ADHS Licensing surveys at newly acquired or developed Ambulatory Surgery Centers.
  • Upload fully executed contracts to the contracts management system and maintain the system on an ongoing basis.
  • Maintain Contract Status spreadsheets concurrent with Contract Inbox and SmartSheet requests from Atlas Team Members.
  • Perform Exclusions Testing on prospective vendors and assist with the maintenance of the SureShield Aegify Exclusions Testing software.
  • Work independently and collaboratively with members of the Atlas Team and all those associated with related or Atlas- managed entities
  • Successfully complete special projects and other assignments as requested

Skills & Qualifications

  • Requires an Associate’s degree in paralegal studies or combination of equivalent experience and education.
  • Requires a level of knowledge and ability normally demonstrated by at least five years’ experience in a corporate legal department or law firm. Requires excellent communication and organization skills. Proficient knowledge with Microsoft applications such as Word, Excel, PowerPoint, SharePoint, and SmartSheet are required, as is knowledge of Legal Tracker, hCue, CT Corporation, and other IT infrastructure relevant to Legal Operations and corporate entity maintenance.
  • Bachelor’s degree and Paralegal Certification are preferred.
